Condiciones generales de venta

1. APLICACIÓN
Las presentes condiciones generales se aplican a todos los pedidos que nos sean confiados. Junto con las estipulaciones del pedido y cualquier condición particular, constituyen el contrato de venta. Al firmar el contrato, el formulario de pedido o al aceptar la confirmación del pedido, nuestra parte contratante reconoce expresamente haber leído y aceptado estas condiciones generales. Estas condiciones generales se aplican a todos los contratos celebrados, incluso verbalmente, en el marco de relaciones comerciales tras un primer pedido.

2. DEROGACIÓN
Solo las derogaciones acordadas por escrito por nosotros podrán modificar la aplicación de las presentes condiciones generales de venta.

3. EXCLUSIÓN
Salvo acuerdo expreso por escrito por nuestra parte, las condiciones generales de compra o venta que figuren en documentos emitidos por nuestros clientes no serán vinculantes para nosotros. La transacción se considera siempre concluida bajo nuestras propias condiciones, y la aceptación de un pedido no implica nuestra adhesión a las condiciones del comprador. Por lo tanto, el comprador renuncia expresa e irrevocablemente al beneficio de sus propias condiciones en el marco de las relaciones entre las partes, incluidas las futuras, salvo acuerdo expreso por escrito en contrario.

4. OFERTAS
Salvo estipulación escrita en contrario en nuestra oferta, nos reservamos el derecho de modificarla mientras no haya sido aceptada por escrito por nuestra parte contratante, especialmente en caso de aumento del precio de las mercancías durante el período de validez de la oferta. En ningún caso podremos ser considerados responsables de tales modificaciones. Los compromisos asumidos por nuestros agentes o representantes solo obligarán a nuestra empresa tras confirmación escrita por nuestra parte. Dichos compromisos estarán, salvo acuerdo escrito en contrario, sujetos a una condición suspensiva.

5. PEDIDOS
Cualquier especificación proporcionada por el comprador se utiliza únicamente con fines documentales y no podrá ser invocada contra nosotros. Todo pedido solo será vinculante tras nuestra confirmación por escrito. El lugar de celebración del contrato se considerará siempre el domicilio social de nuestra empresa. Las modificaciones realizadas por el cliente en su formulario de pedido o en nuestra oferta solo serán válidas si son aceptadas y confirmadas por escrito por nosotros. Cualquier reclamación relativa a posibles inexactitudes en nuestra confirmación de pedido deberá enviarse por escrito y por correo certificado dentro de los 8 días siguientes, bajo pena de caducidad. La cancelación por parte del cliente de un pedido aún no ejecutado implicará automáticamente el pago de una indemnización fija e irrevocable equivalente al 25% del precio total del pedido. Si la cancelación se produce después de haber encargado las mercancías, nos reservamos el derecho de rechazar la cancelación o reclamar una indemnización fija e irrevocable equivalente al 50% del importe del pedido.

6. PAGOS ANTICIPADOS
Los anticipos se deducirán del precio del pedido y no constituyen arras que permitan al cliente desistir del contrato.

7. PLAZOS DE ENTREGA O EJECUCIÓN
Los plazos indicados en nuestras ofertas son meramente orientativos y no constituyen compromiso alguno. Si un plazo es esencial, deberá indicarse claramente en el pedido. En tal caso, la indemnización por retraso nunca podrá superar el 10% del precio total. Las circunstancias excepcionales o de fuerza mayor nos autorizan a modificar los plazos o cancelar el contrato sin indemnización.

8. ENTREGAS – TRANSPORTE
Las mercancías deberán ser recogidas por el comprador en nuestro domicilio social dentro del plazo acordado. Si la entrega es nuestra responsabilidad, deberá indicarse por escrito. Las mercancías viajan por cuenta, riesgo y peligro del cliente.

9. RESERVA DE PROPIEDAD
El vendedor conserva la propiedad de las mercancías hasta el pago completo del precio y sus accesorios. El comprador tiene expresamente prohibido vender, ceder, pignorar o disponer de las mercancías antes del pago total.

10. PAGO
Todos nuestros precios son sin IVA. Las facturas son pagaderas en nuestro domicilio social, sin descuento. Las reclamaciones no suspenden la obligación de pago. Se podrá facturar una contribución medioambiental separada relacionada con los paneles fotovoltaicos usados.

11. GARANTÍA Y SUSPENSIÓN DE ENTREGA
Podremos exigir una garantía bancaria u otra garantía antes de la entrega. En caso contrario, podremos suspender o cancelar las entregas sin indemnización.

12. CLÁUSULA DE VENCIMIENTO ANTICIPADO
En caso de impago de una factura a su vencimiento, todas las demás facturas pendientes serán inmediatamente exigibles.

13. MORA EN EL PAGO
Toda suma impagada devengará automáticamente intereses de demora al tipo legal incrementado en un 5% anual. Además, se aplicará una indemnización fija del 10% del saldo pendiente, con un mínimo de 75 €. Los pagos parciales se imputarán primero a los gastos, luego a los intereses y finalmente al principal.

14. RESOLUCIÓN – CANCELACIÓN
Podremos solicitar la resolución o cancelación del contrato con indemnización por daños y perjuicios en caso de incumplimiento por parte del cliente.

15. ACEPTACIÓN – GARANTÍA – RESPONSABILIDAD
Las mercancías se considerarán aceptadas dentro de los cinco días naturales siguientes a la entrega, salvo reclamación por carta certificada. No garantizamos los defectos ocultos como intermediarios. Solo se aplicará la garantía comercial del fabricante. No seremos responsables salvo en caso de dolo o negligencia grave.

16. CESIÓN
Nuestra empresa podrá ceder en cualquier momento a un tercero los derechos derivados del contrato. La aceptación de estas condiciones constituye el consentimiento previo del cliente.

17. JURISDICCIÓN Y LEY APLICABLE
Cualquier litigio relativo a la interpretación o ejecución del contrato será competencia exclusiva de los tribunales de Verviers. El contrato se regirá exclusivamente por la legislación belga.
